In January 2011 Tata Steel Ltd, a world-size steel company in India and a flagship company of the $80b Tata Group, announced an issue of equity to the investing public through a book-building process. This was one of the many securities that the company issued during 2007-2011. The company would raise Rs 34,770m and Rs 33,850m from the issue at the upper and lower ends of the price band. The case opens with an analyst studying the company's financial condition with the objective of making an investment recommendation. Students are asked to evaluate the attractiveness of the offer and its timing apart from undertaking an analysis of the historical choice of securities. The case can be used to teach students capital structure theories, the thought process behind security issuance, the dynamic nature of finance, and the role of a CFO and valuation analysis. © 2015 World Scientific Publishing Company.

Financing strategy at Tata Steel

As financial investors in portfolio companies, venture capital (VC) firms are expected to add value through continuous monitoring and sustained involvement. Such an effort is expected to give VC-backed IPO firms (VC IPOs) an edge over those IPO firms not backed by VCs. We examine such value additions use a comparative analysis of operating and stock performance data of VC IPOs against three groups of non-VC POs. We identified a set of 92 VC IPOs and 182 non VC IPOs. The 182 non-VC IPOs were further subdivided into industry and size groups. While Wilcoxon tests were used to compare the medians of operating and stock performance, panel data regression models were used to establish the impact of VC on those differential performances. We find that the medians of VC IPOs on most operating performance parameters are better than non-VC IPO groups. But the relational tests could not attribute the better performance to VC influence. We conclude that this could be indicative of VCs' superior ability to identify promising ventures and push them toward their maximum potential. This study is one of the pioneering efforts in exploring VC value creation in the Indian context. Financial value creation: A comparative study of VC-backed IPOs and non-VC-backed IPOs in India

Liquidity is an important factor for smooth trading for all assets including equities traded in the stock markets. Stock exchanges enable buyers and sellers to come together for transaction and in the process reduce the search cost and friction. Higher liquidity motivates more investors to participate in the stock market. Introduction of derivatives of the underlying stock increases the opportunity set available to investors and hence affect the liquidity of the underlying stock. This study examines the impact of derivative trading on the liquidity of underlying stock using price impact measure of liquidity. The price impact measure of liquidity, which actually measures illiquidity, is given by the average daily ratio of absolute return of the stock to the daily volume over a period of time. The advantage of this measure is that it is based on the observed price changes associated with trades. Two time periods have been chosen to examine the short-term and long-term impact of derivative listing on liquidity of underlying stocks. The first time period is one month pre- and post-listing and the second time period is one year pre- and post-listing. The results of this study show a shift in the volume from cash market to derivative market, decline in the number of trades, and lower volatility after the introduction of derivative trading. The illiquidity of the stocks also increased in the short run after the introduction of derivative trading and this is definitely not a desirable outcome of introduction of derivative trading. The sample has been divided into four quartiles on the basis of pre-liquidity levels to examine whether the change in liquidity is affected by the pre liquidity levels of the underlying stock. The results show that the impact of derivative trading on long-term liquidity of the market depends on the level of liquidity prior to the introduction of derivative trading. They also show an improvement in long-term liquidity after derivative trading when the liquidity of stocks prior to derivative trading was not high. In other words, derivative listing improved the liquidity of illiquid stocks significantly and served one of the basic objectives of risk management. On the other hand, long-term liquidity was marginally affected if the stocks were already liquid and it is not a matter of concern. © 2014, SAGE Publications.

Recent Equity Offerings in Indian Capital Markets: An Analysis

Initial Public Offering (IPO) is a milestone in a corporation's financial strategy. Studies probing this cardinal activity are diverse. While, post–issue stock performance dominates the IPO literature, valuation and pricing and ownership and structuring issues follow later in that order. IPO research found a firm ground in some of the well-established finance theories like signaling theory and capital structure theory. The effect of institutional investors in various aspects of the IPO process is the theme of a relatively new stream of research on public offerings. While most of the studies are done in the context of US, an equally rich set of publications can be found in other contexts too. Unlike who provides the review based on IPO process, this study reviews the literature on ‘IPO as a financial strategy' by integrating the factors like, underwriter selection involving venture capitalist, reducing informational asymmetries and reducing ownership without loosing control.
